Permacore Terms and Conditions
Effective date: October 14, 2026
Last updated: October 14, 2026
1. Agreement to these Terms
These Terms and Conditions (the "Terms") are a legal agreement between you and STRUVARO INC., based in Toronto, Ontario ("Struvaro", "we", "us" or "our"), which operates Permacore. They govern your access to and use of the Permacore permit tracker, including the website at https://struvaro.com, the web application, any mobile or home-screen version, any test or preview link we send you, and all related content, emails and support (together, the "Service").
By creating an account, clicking "I agree" or a similar button, or using the Service, you confirm that you have read, understood and agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
If you use the Service on behalf of a company, firm, public body or other organization, you confirm that you have authority to bind that organization to these Terms. In that case, "you" means both you and that organization.
2. Definitions
- Account means the account you create to sign in to the Service.
- Administrator means the user who controls a workspace or deployment, including the first account created on it, who can add, disable and delete other users and change shared settings.
- Authority means any government, municipality, regional government, conservation authority, utility, agency or other body that issues permits, licences, approvals or agreements, including the City of Toronto.
- Customer Content means all data, text, files, drawings, documents, email addresses and other material that you or your users enter into, upload to or import into the Service, including project details, permit records, submissions, checklists and attachments.
- Public Documents means forms, guides, checklists, by-laws, fee schedules and other documents published by an Authority that the Service makes available, summarizes or links to.
- Reference Content means the permit library, permit finder, submission checklists, default review timelines, holiday calendars, form summaries and other general information we provide in the Service.
- User means any person who accesses the Service through your Account or workspace.
3. The Service
Permacore is a permit tracker for construction and infrastructure projects in Toronto and the Greater Toronto Area. Depending on your plan and settings, the Service lets you:
- create projects and record permits, licences, approvals and agreements, with their Authority, department, type, location and status;
- record completeness submissions, review cycles and Authority decisions;
- calculate business-day deadlines, delays, review percentages and renewal or expiry markers;
- receive email alerts, instant notices and a weekly digest about upcoming and missed dates;
- use a dashboard, calendar and work-back planner;
- browse a permit library, permit finder and submission checklists;
- upload, organize and download documents attached to permits;
- view, search and download copies of Public Documents; and
- import from and export to Microsoft Excel, and download or restore backups of your workspace.
Independence. Permacore is an independent tool. It is not affiliated with, endorsed by, sponsored by or produced in partnership with the City of Toronto or any other Authority. Using the Service is not a submission to any Authority, and nothing you record in the Service is sent to an Authority by us.
Changes to the Service. We may add, change or remove features at any time. If we remove a feature you pay for in a way that materially reduces the Service, we will give you reasonable notice and, where appropriate, a pro-rated refund of prepaid fees for the affected period.
4. Eligibility
You must be at least 18 years old, or the age of majority where you live, and able to form a binding contract. The Service is designed for business and professional use. It is not directed to children, and children may not create accounts.
5. Accounts and security
Registration. To use the Service you must create an Account with your name, email address and a password of at least 8 characters, or be added by an Administrator. You agree to give accurate information and to keep it up to date.
Keeping your Account secure. You are responsible for keeping your password confidential and for all activity under your Account. Use a strong password that you do not use elsewhere. Tell us right away at info@struvaro.com if you think someone has used your Account without permission. We are not responsible for loss caused by your failure to protect your credentials.
Administrators. The first account created on a workspace or deployment becomes its Administrator. An Administrator can add, disable, reset and delete Users, decide whether people can sign up on their own, configure the email account that sends alerts, and turn on phone or network access. If your Account was created or is controlled by an Administrator (for example, your employer), that Administrator may be able to see, change, disable or delete your Account and the Customer Content in it. Your relationship with that Administrator is governed by your arrangements with them, not by us.
Email account credentials. If an Administrator enters credentials for an email account (such as a Gmail or Outlook app password) so the Service can send alerts, the Administrator confirms they are authorized to use that email account for this purpose and are responsible for complying with that email provider's terms.
6. Test, preview and early-access versions
We may invite you to try a test, beta, pilot or preview version of the Service, including through a temporary public web link ("Preview"). If you use a Preview:
- it is provided "as is" for evaluation only, may be unstable, and may change or stop at any time without notice;
- the link may change or stop working, and anyone who has the link can reach the sign-in page, so do not share it beyond the people we invited;
- Previews may run on temporary infrastructure, including a third-party tunnelling service (such as Cloudflare) and computers operated by us, and data entered in a Preview may not be kept, backed up or carried over to the full Service;
- do not upload confidential, sensitive or personal information you cannot afford to lose or disclose, and keep your own copies of anything you upload;
- you agree to keep the Preview, its features and any non-public information about it confidential; and
- if you send us feedback, the feedback section of these Terms applies.
Our liability for any Preview is limited as set out in section 15, and to the fullest extent permitted by law we have no liability for loss of data entered into a Preview.
7. Government forms and other Public Documents
The Service includes copies of, summaries of and links to Public Documents published by the City of Toronto, other GTA municipalities and regions, the Province of Ontario, conservation authorities (such as TRCA and Conservation Halton), the Electrical Safety Authority, utilities and other Authorities.
- Ownership. Public Documents belong to the Authority that published them, which may hold copyright (including Crown copyright). We do not claim ownership of them, and we include them only to help you find and use them.
- Copies may be out of date. The copies in the Service were downloaded on the date shown in the Service and are not updated automatically. Authorities change forms, fees, by-laws and requirements without notice to us. Always get the current version from the Authority's official website before you submit anything. Where a form is shown with a link to the Authority, the Authority's version governs.
- Summaries are not the document. Our summaries, "what it asks for" notes, applicability notes and search results are our own simplified descriptions. They may be incomplete or wrong. If they differ from the Public Document, the Public Document governs.
- Your use of Public Documents. Your use of a Public Document is also subject to any terms the Authority sets, including the City of Toronto's terms of use and the Open Government Licence where it applies. You must not present a Public Document, or anything you make from it, as an official document of an Authority unless it is one.
- Removal requests. If you are an Authority or rights holder and want a document removed or corrected, contact us at info@struvaro.com and we will respond promptly.
Third-party websites. The Service links to websites of Authorities and other third parties. We do not control those websites and are not responsible for their content, availability, accuracy or privacy practices.
8. Reference Content, deadlines and alerts are not professional advice
The Service is a tracking and organizing tool. It does not provide legal, engineering, architectural, planning, regulatory or other professional advice, and it does not replace a qualified professional or the Authority itself.
- Reference Content. The permit library, permit finder, checklists, default review and completeness timelines, fee information and "when it applies" guidance are general information prepared from public sources. They may not cover every permit, Authority, site condition or recent change, and the permit finder's suggestions are not a determination of which permits your project needs.
- Calculations. Deadlines, business-day counts, delay totals, percentages, renewal markers and work-back plans are estimates based on the data and settings you enter, including the timelines and holiday calendar in your workspace. Authorities may count time differently, pause review, or change timelines. Statutory or by-law deadlines always govern over the Service's calculations.
- Legislated timelines. Where the Service refers to a legislated process (for example, the Building Transit Faster Act, 2020 or the Planning Act), the reference is general information only. Whether a process applies to your project, and how, is a question for your own advisors and the Authority.
- Alerts. Email alerts and digests are a convenience. They depend on your settings, your recipients' email systems, our email provider and the Service running, and they may be delayed, filtered as spam or not sent. Do not rely on alerts as your only reminder of any deadline.
9. Your responsibility for your permits
You remain solely responsible for:
- deciding which permits, licences, approvals and agreements your project needs;
- preparing, checking and submitting complete and accurate applications to the correct Authority, in the required form, on time;
- paying all Authority fees, deposits and securities;
- meeting every condition, deadline, renewal and expiry date; and
- the accuracy of everything you enter into the Service.
We are not responsible for any refusal, delay, stop-work order, penalty, fine, lost deposit, re-design, construction delay or other consequence that results from an application, a missed deadline or reliance on the Service.
10. Your Customer Content
You own it. As between you and us, you own your Customer Content. We do not claim ownership of it.
Licence to us. You grant us a non-exclusive, worldwide, royalty-free licence to host, store, copy, process, transmit, back up and display your Customer Content only as needed to provide, secure, support and improve the Service for you, to send the alerts and emails you set up, and to comply with law. This licence ends when your Customer Content is deleted from our systems, as described in our Privacy Policy.
Your promises. You confirm that you have all rights, permissions and consents needed to upload and use your Customer Content in the Service, including (a) the right to upload drawings, reports and other documents prepared by consultants or third parties, and (b) the right to enter the names and email addresses of other people (such as permit owners, watchers and distribution lists) and to have the Service email them alerts. You will not upload Customer Content that is unlawful, infringes anyone's rights, or that you are not allowed to share.
Sensitive information. The Service is not designed for health information, payment card data, government identification numbers or other sensitive personal information. Do not upload it unless we have agreed in writing.
Backups are your responsibility too. We take daily backups of the Service, but you should keep your own copies of important Customer Content, for example by using the Excel export and the workspace backup download. Workspace backups contain your records and the list of attached files, not the files themselves.
11. Acceptable use
You agree not to, and not to let anyone else:
- use the Service in breach of any law, including privacy, anti-spam (Canada's Anti-Spam Legislation, CASL) and intellectual property laws;
- use the alert or email features to send marketing or unsolicited messages, or to email people who have not agreed to receive them;
- upload viruses, malware or harmful code, or files you know to be corrupted;
- try to gain unauthorized access to the Service, another user's account or workspace, or our systems, or bypass any security, sign-in limit or rate limit;
- probe, scan or test the vulnerability of the Service without our written permission;
- overload or disrupt the Service, including through automated requests or scraping;
- copy, frame, resell, sublicense or offer the Service or the Reference Content to third parties as a competing product or service;
- decompile, reverse engineer or try to extract the source code of the Service, except where the law expressly permits this despite this restriction;
- remove or alter any notice of ownership, independence or disclaimer in the Service; or
- impersonate any person or Authority, or misrepresent your affiliation with them.
12. Our intellectual property and feedback
The Service, including its software, design, interface, workflows, calculations, text, graphics, logos and the Reference Content we prepared (but not Public Documents or Customer Content), is owned by Struvaro or its licensors and is protected by copyright, trademark, patent and other laws. "Permacore" and our logos are our trademarks. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to use the Service for your internal business purposes during your subscription. All rights not expressly granted are reserved.
Feedback. If you send us ideas, suggestions or feedback, you grant us a perpetual, irrevocable, royalty-free right to use them for any purpose without obligation to you. We will not identify you publicly as the source without your permission.
13. Fees and payment
- Draft pricing. Our plans and prices are in draft and may change. The price that applies to you is the one shown when you subscribe.
- Fees. You agree to pay the fees for the plan you choose, as shown on our website or in your order. Fees are in Canadian dollars and exclude applicable taxes (including HST), which you will pay.
- Billing and renewal. Subscriptions are billed monthly or annually, as shown when you subscribe, in advance and renew automatically for the same period unless you cancel before the renewal date. Payments are processed by Stripe, our third-party payment processor, which also stores your card details and may apply its own terms to the payment. We never see or store full card numbers.
- Price changes. We will give you at least 30 days' notice of a price change, which applies from your next renewal.
- Refunds. Except where required by law or stated in these Terms, fees are non-refundable.
- Late payment. If payment fails, we may suspend the Service after giving you notice and a reasonable chance to pay.
14. Disclaimer of warranties
To the fullest extent permitted by law, the Service, Reference Content, Public Documents and any Preview are provided "as is" and "as available". We disclaim all warranties, representations and conditions, express or implied, including any implied warranties or conditions of merchantable quality, fitness for a particular purpose, title, non-infringement, accuracy and uninterrupted or error-free operation. We do not warrant that the Service will be available at any particular time, that alerts will be delivered, that Reference Content or Public Documents are current or complete, or that the Service will meet your requirements.
15. Limitation of liability
To the fullest extent permitted by law:
- we will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, business, contracts, goodwill, data or anticipated savings, or for construction delay, delay claims, liquidated damages, fines or penalties, however caused and even if we were told they were possible; and
- our total liability for all claims arising out of or relating to the Service or these Terms will not exceed the greater of (a) the fees you paid us for the Service in the 12 months before the event giving rise to the claim, and (b) CAD $100.
These limits apply to all claims, whether in contract, tort (including negligence), statute or otherwise, and survive termination. Nothing in these Terms limits liability that cannot be limited by law, such as liability for fraud, or rights you have as a consumer under the Ontario Consumer Protection Act, 2002 or similar laws that cannot be waived.
16. Indemnity
You will defend, indemnify and hold harmless Struvaro and its directors, officers, employees and contractors from any claims, losses, damages, fines and costs (including reasonable legal fees) arising from (a) your Customer Content, (b) your breach of these Terms or of law, (c) emails the Service sends to recipients you added, or (d) any dispute between you and an Authority, your client, your employer or another User.
17. Suspension and termination
By you. You may stop using the Service and cancel your subscription at any time from your account settings or by emailing info@struvaro.com. Cancellation takes effect at the end of the current billing period.
By us. We may suspend or terminate your Account, with notice where reasonable, if you breach these Terms, fail to pay, create risk or legal exposure for us or other users, or if we stop offering the Service. We may suspend immediately if needed to protect the Service or others.
After termination. Your right to use the Service ends. For 30 days after termination (other than for breach), you may ask us to help you export your Customer Content. After that we will delete it as described in our Privacy Policy, except for copies in backups, which are overwritten on their normal cycle, and anything we must keep by law. Sections 7 to 10, 12 and 14 to 22 survive termination.
18. Third-party services
The Service relies on third-party providers, including cloud hosting, email delivery, network and tunnelling services. Their availability is outside our control. If you choose to connect your own email account so the Service can send alerts, your use of that account is governed by its provider's terms.
19. Privacy
Our Privacy Policy explains how we collect, use and disclose personal information, and forms part of these Terms. Where you enter personal information about other people into the Service, you are responsible for having a lawful basis and giving any required notice to those people.
20. Governing law and disputes
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there, without regard to conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Before starting any proceeding, you and we agree to try to resolve the dispute in good faith by written notice and discussion for at least 30 days. If it is not resolved, the courts of Ontario sitting in Toronto have exclusive jurisdiction, and you and we submit to them. Nothing in this section limits any right a consumer has to bring proceedings in their own jurisdiction where the law gives that right.
21. Changes to these Terms
We may update these Terms from time to time. We will post the new version with a new "Last updated" date and, for material changes, notify you by email or in the Service at least 30 days before they take effect. If you keep using the Service after the effective date, you accept the updated Terms. If you do not agree, you must stop using the Service and may cancel.
22. General
- Entire agreement. These Terms, the Privacy Policy and any order form are the entire agreement between you and us about the Service. If an order form signed by both of us conflicts with these Terms, the order form governs.
- Assignment. You may not assign these Terms without our written consent. We may assign them to an affiliate or to a buyer of all or part of our business.
- Severability. If any part of these Terms is held invalid, the rest stays in effect.
- No waiver. Our failure to enforce a right is not a waiver of it.
- Force majeure. We are not liable for delay or failure caused by events beyond our reasonable control, including outages of hosting, network or email providers, strikes, natural disasters and acts of government.
- Independent contractors. Nothing in these Terms creates a partnership, agency or employment relationship.
- Notices. We may give you notice by email to your Account address or in the Service. You may give us notice by email to info@struvaro.com.
- Language. The parties have required that these Terms be drawn up in English. Les parties ont exigé que cette convention soit rédigée en anglais.
